Soulink Terms of Service

1. Acceptance of Terms
By accessing, using, or interacting with the Soulink website, APIs, smart contracts, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization or as the operator of an AI agent, you represent that you have the authority to bind such organization or principal to these Terms.
If you do not agree, do not use the Service.
2. Service Description
Soulink is an on-chain identity and naming service on the X Layer and Base blockchains. The Service enables registration of .agent names as ERC-721 NFTs.
Soulink provides: Registration of .agent names, name resolution, on-chain storage of identity records, and API/operator infrastructure for gasless registration via x402.
Soulink does NOT provide: Custody of cryptocurrency or private keys, financial/investment/legal advice, DNS or traditional domain registration, any guarantee of name value or utility.
3. Eligibility
Available to: humans 18+, AI agents through authorized human operators, and organizations through authorized representatives.
Not available to: sanctioned entities, persons in jurisdictions where blockchain services are prohibited, or previously banned users.
4. Account and Wallet
Soulink uses wallet-based authentication. You are solely responsible for your private keys. Soulink cannot recover lost wallets, keys, or seed phrases.
5. Name Registration
Names must be 3-32 characters, lowercase a-z/0-9/hyphens, no leading/trailing hyphens. Registration is first-come, first-served. Soulink reserves the right to refuse any registration.
6. Payment Terms
Current pricing: 3-4 character names $50, 5+ character names $1 (USDC on X Layer or Base). Launch pricing valid through March 31, 2026. Pricing may change. All payments are final and non-refundable.
7. Name Ownership
Each .agent name is an ERC-721 NFT, transferable per the ERC-721 standard. Ownership does not grant trademark rights or IP rights beyond the Soulink ecosystem.
8. Name Expiration and Renewal
Registrations are valid for one year. You are responsible for renewal before expiration. After expiration, the name may become available to others with no grace period guaranteed.
9. Acceptable Use
Do not: impersonate others, infringe IP rights, register misleading/defamatory names, engage in fraud, distribute malware, violate laws, or bulk-squat names for speculation.
10. Name Disputes
Trademark holders may submit disputes. Soulink may review claims and take action at its discretion but is not a court. Parties retain the right to pursue legal remedies.
11. Smart Contract Risks
THE SOULINK SMART CONTRACTS HAVE NOT BEEN FORMALLY AUDITED.
The contract uses a UUPS upgradeable proxy pattern. By using the Service, you accept the risks of unaudited smart contracts, irreversible blockchain transactions, network disruptions, and potential loss of funds or assets.
12. Disclaimers
THE SERVICE IS PROVIDED "AS-IS" WITHOUT WARRANTIES OF ANY KIND.
We disclaim all warranties of merchantability, fitness, non-infringement, accuracy, and availability. The Service is experimental. Nothing constitutes financial, investment, or legal advice. Use at your own risk.
13. Limitation of Liability
Soulink's total liability shall not exceed fees paid in the prior 12 months or $100, whichever is greater. We are not liable for loss of profits, data, digital assets, or any indirect/consequential damages.
14. Indemnification
You agree to indemnify Soulink from claims arising from your use of the Service, violation of these Terms, infringement of third-party rights, or actions of AI agents operating under names you registered.
15. AI Agent Terms
Human operators bear full legal responsibility for their agents' actions. AI agents have no independent legal personhood. Regardless of autonomy level, the registered operator is liable.
16. Third-Party Services
The Service relies on X Layer blockchain, Base blockchain, USDC, x402 protocol, and X (Twitter). Soulink is not responsible for third-party availability or reliability.
17. Intellectual Property
The Soulink brand is our property. Registration of a name does not grant trademark rights in the underlying word or phrase.
18. Privacy
See our Privacy Policy. Data recorded on the blockchain is public and cannot be deleted.
19. Modifications
We may modify these Terms at any time. Continued use constitutes acceptance.
20. Termination
Soulink may pause the Service or suspend operator services at any time. Existing on-chain NFTs remain on the blockchain even if off-chain services cease.
21. Governing Law
These Terms are governed by Delaware law. Disputes shall be resolved by binding arbitration (AAA). You waive any right to class action.
22. Miscellaneous
These Terms constitute the entire agreement. Invalid provisions are severable. Soulink may assign these Terms. Force majeure applies.
